Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Qyvo P.S.A. ("Qonera," "we," "us," or "our"), a company registered in Poland (NIP/VAT: 5851509019, KRS: 0001195545).
By accessing or using Qonera's services, platform, software, or website (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services. These Terms apply to all visitors, users, and others who access or use the Services.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In that case, "you" will refer to that entity.
2. Changes to Terms
Qonera reserves the right to modify or replace these Terms at any time at its sole discretion. We will provide notice of significant changes by updating the "Last updated" date at the top of these Terms or by other reasonable means. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
We encourage you to review these Terms periodically. If you do not agree to the modified Terms, you must stop using the Services.
3. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, available at qonera.ai/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. Qonera is GDPR compliant from day one; please see our Data Processing Agreement at qonera.ai/dpa for further details.
4. Who May Use the Services
You may use the Services only if you are 18 years of age or older, capable of forming a binding contract with Qonera, and are not barred from using the Services under applicable law. If you are using the Services on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation to these Terms.
Qonera reserves the right to refuse access to the Services to any person or entity for any reason at its sole discretion.
5. Feedback
We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Services ("Feedback"). You acknowledge and agree that all Feedback will be the sole and exclusive property of Qonera and you hereby irrevocably assign to Qonera all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein.
6. Content on Services
Your Content. "Content" means any information, data, text, files, or other materials uploaded, submitted, or otherwise made available through the Services by you. You retain all rights in and to your Content. By uploading or submitting Content, you grant Qonera a non-exclusive, worldwide, royalty-free licence to use, process, store, and analyse your Content solely for the purpose of providing and improving the Services to you.
Responsibility. You are solely responsible for your Content and the consequences of uploading or submitting it. You represent and warrant that: (a) you own or have the necessary licences, rights, consents, and permissions to submit the Content; (b) your Content does not infringe any third-party intellectual property rights; and (c) your Content complies with all applicable laws.
Prohibited Content. You agree not to upload or submit Content that: is unlawful, harmful, defamatory, obscene, or invasive of privacy; infringes any patent, trademark, trade secret, copyright, or other proprietary rights; contains software viruses or malicious code; or violates any applicable law or regulation.
7. Rights in Services
The Services and all content, features, and functionality thereof — including but not limited to all software, algorithms, text, displays, images, and design — are owned by Qonera, its licensors, or other providers of such material and are protected by intellectual property laws.
Subject to your compliance with these Terms and your applicable subscription plan, Qonera grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your internal business purposes during the term of your subscription. This licence does not include the right to resell, sublicense, commercially exploit, copy, modify, or create derivative works of the Services.
8. Copyright Policy
Qonera respects intellectual property rights and expects users to do the same. If you believe that any content on the Services infringes your copyright, please send a notice of claimed infringement to legal@qonera.ai containing: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the infringing material; (d) your contact information; (e) a statement of good faith belief; and (f) a statement of accuracy under penalty of perjury.
9. Links
The Services may contain links to third-party websites or services. Qonera does not control, endorse, or assume responsibility for any third-party content, privacy policies, or practices. You acknowledge and agree that Qonera shall not be responsible or liable for any damages or losses caused by or in connection with use of or reliance on any third-party content, goods, or services.
10. Third-Party Services
The Services may integrate with or rely upon third-party services, including AI model providers, cloud storage providers, and authentication services. Your use of such third-party services may be subject to additional terms and conditions imposed by those third parties. Qonera is not responsible for the availability, accuracy, or reliability of third-party services. A current list of sub-processors is maintained in our Data Processing Agreement.
11. Termination
Qonera may terminate or suspend your access to all or part of the Services, without notice, for any conduct that Qonera, in its sole discretion, believes violates these Terms, is harmful to other users, Qonera, or third parties, or for any other reason.
You may cancel your subscription at any time through your account settings or by contacting support@qonera.ai. For monthly subscriptions, cancellation takes effect at the end of the current billing cycle — you will retain access until that date, and no refund will be issued. For annual subscriptions, cancellation takes effect at the end of the current annual term — you will retain access until that date, and no prorated or partial refunds will be issued for remaining months. All fees paid are non-refundable. Upon termination, your right to use the Services will cease at the end of the applicable billing period. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Warranty Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. QONEJO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
QONEJO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT GENERATED BY THE SERVICES, INCLUDING AI-GENERATED CONTENT. THE SERVICES ARE DESIGNED TO ASSIST HUMAN REVIEW AND DO NOT REPLACE PROFESSIONAL JUDGEMENT.
13. Indemnity
You agree to defend, indemnify, and hold harmless Qonera and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to your Content, your use of any information obtained from the Services, or any violation by you of any applicable law or the rights of any third party.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QONEJO OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL QONEJO'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE AMOUNT YOU PAID TO QONEJO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Poland for the resolution of any disputes not subject to arbitration as provided below.
16. Dispute Resolution / Arbitration
Informal Resolution. Before filing any claim against Qonera, you agree to first contact us at legal@qonera.ai and attempt to resolve the dispute informally. If the dispute is not resolved within thirty (30) days, either party may proceed to formal dispute resolution.
Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in accordance with applicable Polish law. The arbitration shall take place in Poland. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between Qonera and you individually. To the fullest extent permitted by law, you waive the right to participate in a class action lawsuit or class-wide arbitration.
General Terms. These Terms constitute the entire agreement between you and Qonera regarding the Services. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Qonera's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
